Snell & Wilmer Represents Lumifi in Acquisition of Critical Insight

Nov 06, 2024

PHOENIX – Snell & Wilmer advised Lumifi®, a leading innovator in cybersecurity and managed detection and response (MDR) services offering Fortune 500-level security solutions to support security-conscious teams, in its acquisition of Critical Insight, a Washington-based cybersecurity company.

The acquisition adds to Lumifi’s existing offerings, including its 24/7 Security Operations Center (SOC), managed detection and response, and ShieldVision platform. Critical Insight’s incident response capabilities complement Lumifi’s real-time threat monitoring, while its professional services expand the ability to provide tailored cybersecurity strategies. The acquisition offers clients of both companies more opportunities to maintain enterprise-level protection. Lumifi’s customers will have access to Critical Insight’s professional services in November 2024. The integration of Critical Insight’s operations and services into Lumifi’s existing infrastructure is expected to be completed at the end of 2024.

Michael Malone, CEO and Founder of Lumifi shared in a recent press release, “This acquisition continues to set Lumifi on an upward trajectory for 2025 and adheres to our growth strategy.” Malone went on to state, “By integrating Critical Insight’s expertise, we’re enhancing our ability to offer comprehensive protection to our clients in industries facing increasingly complex cyber threats. With healthcare cyber attacks increasing by 32% globally in 2024, we’re now better positioned to meet the growing demand for cybersecurity solutions in this important sector.”

Tony Caldwell and Bryce Morgan led the Snell & Wilmer team advising Lumifi throughout the deal. The acquisition team included Jordan Manley, Nikki Smith, Amanda J. Dick, Caitlin Pyatt, and Hanna Reinke (Corporate and Securities); Brian Burke and Justin Birtcher (Commercial Finance); R. Lee Fraley and Gabrielle Morlock, and Haley Breedlove (Intellectual Property); Matthew P. Chiarello (Employee Benefits); Craig J. O’Loughlin (Labor and Employment; and Bahar A. Schippel (Tax).

This transaction represents another step in Lumifi’s plan, unveiled in October 2023, to expand its portfolio by targeting similar cybersecurity firms through acquisitions, including the recent purchases of Castra and Netsurion. The Snell & Wilmer team also advised Lumifi on both of those prior transactions.
