Biography

As a member of the firm’s Corporate and Securities Practice Group, Roman focuses on a variety of corporate matters, including mergers and acquisitions, SEC reporting, private equity and debt financing, business formations, and general corporate counseling. Throughout his career, Roman has assisted a wide range of clients, from individual entrepreneurs and medical practices to startups, growth-stage private companies, professional sports teams, and publicly traded corporations.

Mergers & Acquisitions
Roman advises clients across diverse industries on mergers, acquisitions, divestitures, and other corporate transactions. He negotiates and drafts acquisition agreements, assists with legal due diligence, ensures compliance with regulatory requirements, and drafts various closing and ancillary transaction documents, including shareholder and director approvals.

Sports & Entertainment
Roman assists clients in the sports and entertainment industry with their brand awareness efforts through licensing and corporate sponsorship efforts, including drafting and negotiating sponsorship agreements, media rights agreements, or event vendor and supplier agreements.

Securities Offerings
Roman helps growing companies or venture capital firms in private securities offerings, drafting and negotiating offering documents, including subscription agreements, prospectuses, and disclosure documents, ensuring compliance with federal and state securities laws, and navigating regulatory requirements.

Business Formation
Roman advises entrepreneurs on establishing and structuring new businesses, providing guidance on choosing the appropriate entity type based on specific goals, liabilities, and tax considerations. He prepares and files the necessary formation documents and drafts other governance documents, including operating agreements, partnership agreements, and shareholder agreements.
