In this issue of the Corporate Communicator, we are including two articles. The first article summarizes the SEC’s recently adopted amendments to its share repurchase disclosure rules. These amendments go into effect on July 31, 2023, and provide for new and significantly enhanced disclosures relating to share repurchases by public companies as well as certain purchase and sale activity of the company’s executive officers.

We are also including a recently published article by our Employee Benefits and Executive Compensation Group summarizing two recent court rulings invalidating two California statutes requiring specific diversity mandates for California public company boards.
