Nonprofit Law
Snell & Wilmer’s Nonprofit/Tax-Exempt Organizations Practice focuses on the formation, governance, tax (federal, state, and local), and general business and corporate issues related to nonprofit organizations. Snell & Wilmer has also represented these organizations in matters concerning administrative claims, compliance issues, insurance disputes, labor and employment matters, and various litigation matters. In addition, we represent individual donors, as well as donor organizations, on various planned giving strategies. We also represent and advise families on a variety of philanthropic matters, including the formation and governance of family foundations.
Our team members have provided these services to all types of nonprofit and tax-exempt organizations, including charitable organizations, educational organizations, medical research organizations, hospitals, private foundations, private operating foundations, social welfare organizations, labor organizations, trade associations, social clubs, political organizations, and other nonprofit organizations.
Attorneys on our team are located throughout our offices, and are drawn from the following practice groups: bankruptcy and reorganization services, corporate and securities, commercial litigation, employee benefits, energy, environmental, estate planning, intellectual property and technology, labor and employment, real estate, and tax.
Our team members have developed relationships with prominent public charities, private foundations, trade associations, and other nonprofit organizations and have experience and familiarity regarding the legal issues facing nonprofits, including issues at the national level involving Congress’ efforts to evaluate the need for greater regulatory oversight for public charities, private foundations, supporting organizations, and donor-advised funds.
Our clients include a wide range of nonprofit and tax-exempt organizations, from small start-ups to very large organizations with national and international activities.
We have represented our nonprofit and tax-exempt organization clients in a variety of matters, including formation, joint ventures (including with for-profit organizations), transactions with insiders or “disqualified persons” mergers, reorganizations, and formation of for-profit subsidiaries, to name a few. Our collective experience is substantial, and our goal is to provide effective, efficient, and practical counsel.
